Phoebe Vasquez is a Senior Associate in the Corporate group. She focuses on cross-border transactions, private fund formation, and Caribbean-based investment structures. Her practice sits at the intersection of the firm's core middle-market M&A work and the more specialized offshore structuring that comes up when a Connecticut-based family office or fund sponsor invests through a BVI, Cayman, or Puerto Rico vehicle. She drafts fund organizational documents, side letters, and subscription materials, and coordinates with offshore counsel on the local-law overlay.
Vasquez earned her J.D. *cum laude* from Georgetown University Law Center in 2017 and her B.A. from the University of Hawai'i at Manoa in 2013. She joined the firm as a lateral associate in 2021 after three years at a New York international practice. She was promoted to Senior Associate in 2023.
She is fluent in Spanish and conversational in Portuguese, and has handled client-facing meetings in both languages on matters involving Latin American and Brazilian counterparties. That language capacity has become a quiet differentiator for the Corporate group's family-office work, where an increasing portion of client principals are first- or second-generation U.S. residents with business and investment relationships across the Americas. She is admitted in Connecticut and New York.

- Represented a Connecticut-based fund sponsor in the formation of a $120M closed-end private credit fund with a Cayman master-feeder structure, including side-letter negotiation with six institutional LPs, 2023.
- Counsel to the buyer-side in a cross-border acquisition of a Puerto Rico-based logistics business, including coordination with San Juan local counsel on Act 60 tax implications, 2024.
- Ongoing private fund formation work for a Farmington family office building out its direct-investment vehicle, including LPA negotiation and regulatory filings with the Connecticut Department of Banking.
- Represented a Hartford-based investment manager in the formation of a BVI-domiciled feeder fund and negotiation of prime brokerage documentation, 2022.
## Pro Bono
Vasquez handles Spanish-language family-law and immigration intake for Statewide Legal Services of Connecticut on a pro bono basis, where her language skills fill a persistent coverage gap. She has been with the SLS referral program since her first year at the firm.
