Venture Capital Emerging Growth Company Representation Technology Licensing

Sidney Schwartz is an Associate in the Corporate practice. His work focuses on venture capital financings, emerging growth company representation, and technology licensing. He drafts and negotiates Series Seed and Series A documents, advisor and founder agreements, and the commercial contracts that early-stage companies tend to need in a hurry — MSAs, evaluation agreements, and licensing terms with enterprise customers. Schwartz earned his J.D. from NYU School of Law in 2020 and his B.A. from Wesleyan University in 2016. Before law school he spent two years as legal operations lead at a New York startup accelerator, where he sat in on several dozen early-stage financings as the company side's first read. He joined Oak, Elm & Birch in 2021. Within the firm he works primarily on Connecticut-based emerging-growth-company engagements referred into the Corporate group through the firm's relationships with local accelerators and angel networks. He collaborates with the Tax group on § 83(b) filings and QSBS structuring, and with Jasmine Pendleton in the Data Privacy Working Group on contract-review questions specific to early-stage SaaS clients. ## Speaking & CLE - Co-presenter, "SAFE vs. Priced Round: Counseling the First-Time Founder," CBA Business Law Section CLE, Hartford, March 2024. - Panelist, reCONNect Connecticut venture conference, "Legal Pitfalls in the First $2M," 2023.
